Terms and conditions

 

Business Trading Terms (BTT) between "customer" and Clear home cleaning services (CHCS)   

   
 
Clear Home Cleaning Services LTD.(CHCS) is agreeable to providing domestic cleaning service
to the clients on the terms and conditions set out in this Agreement. 

  

  In consideration of the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the client and the clear home cleaning services ltd. to this Agreement agree as follows: 

  

     -The clients hereby agree to engage with CHCS LTD, to provide the client with Domestic cleaning service which includes cleaning the bathroom, Kitchen, Lounge, bedroom which including bed changing, laundry services which including washing, hanging, folding and putting away stuff, Ironing and general home cleaning like hoovering, mopping, dusting, empty bins, empty dish washer, cleaning Fridge and freezer, cleaning in and outside of kitchen cabinets, etc. 

  

    -The venue to provide the services is Individual's Home. 

  

    -The time to provide the services is Monday to Sunday Between 7am-7pm 

    

    -The services will also include any other cleaning tasks which parties may agree on. The CHCS hereby agrees to provide such Services to the Client

Term of Agreement  

​

-The term of this agreement (the "Term") will begin on the date of the first clean and will remain in full force and effect indefinitely until terminated as provided in this Agreement. 

  

     -In the event that either Party wishes to terminate this agreement, that Party will be required to provide 28 days' written notice to the other Party. 

     -This Agreement may be terminated at any time by mutual agreement of the Parties. 

      

     -Except as otherwise provided in this Agreement, the obligations of the CHCS will end upon the termination of this Agreement 

  

   Performance 

  

      -The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect 

  

   Currency 

  

      -Except as otherwise provided in this, Agreement, all monetary amounts referred to in this Agreement are in GBP 

    

      -The CHCS will charge the Client for the services at an hourly.

 
 

      -The money should be paid on the same of the cleaning. 

  

      -Invoices submitted by the CHCS to the Client are due within one day of receipt

Each day the money is not received after the initial day of cleaning a penalty of £10 is received.

  

      -The CHCS will be responsible for all income tax liabilities and National Insurance or similar contributions relating to the Payment and the CHCS will indemnify the Client in respect of any such payments required to be made by the Client 

  

     -The CHCS will not be reimbursed for any expenses incurred in connection with the services of this Agreement 

  

   Confidentially 

  

    -Confidential information (the "Confidential Information") refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to be Client 

  

   -The CHCS agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the CHCS has obtained, except as authorised by the Client or as authorised by the Client or as required by law. The CHCS further agrees that they will not disclose, divulge, reveal, report, or use, for any purpose, any personal information of the Client, without the prior written consent of the Client. The obligations of confidentially will apply during the Term and will survive indefinitely upon termination of this Agreement

 

   Return of Property

    -Upon the expiry or termination of this Agreement, the CHCS will return to the Client any property documentation, records or Confidential Information which is the property of the Client  

  

   Capacity/ Independent CHCS LTD.

  

   -In providing the Services under this Agreement it is expressly agreed that the CHCS is acting as an independent CHCS and not as an employee. The CHCS and the Client acknowledge that this Agreement does not create a partnership or joint venue between them and is exclusively a contract for service. 

 
 

   Autonomy 

 
 

   -Except as otherwise provided in this Agreement, the CHCS will have full control over working time, methods, and decision making in relation to provision of the Services in accordance with the Agreement. The CHCS will work autonomously and not at the direction of the Client. However, the CHCS will be responsive to the reasonable needs and concerns of the Client. 

  

  Equipment 

  

   -Except as otherwise provided in this Agreement, the client  will provide  all equipment and materials needed for the cleaning:

    -  As this will minimise cross-infections,

    -To avoid additional costs .

    -To ensure that cleaners use the products that you prefer.

    -To avoid your property being damaged.
 

   Notice  

 

   -All notices, requests, demands or other communications required or permitted by terms of this Agreement will be given in writing and delivered to the Parties by email    

 

   Indemnification 

  

   -Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses ,damages, liabilities, penalties, punitive damages, expenses reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement. 

  

    Modification of Agreement  

  

   -Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorised representative of each Party 

 
 

   Time of the essence  

  

   -Time is of the essence in this agreement. No extension or variation of this Agreement will operate as a waiver of this provision 

  

    Assignment 

  

   -The CHCS LTD will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without prior written consent of the Client. 

  

Entire Agreement 

  

  -It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement 

   

  

      Titles/ Headings 

  

  -Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.

     Governing Law 

  

  -This Agreement will be governed by and constructed in accordance with the laws of England 

  

     Severability 

  

  -In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement. 

  

    Waiver 

  

  -The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be constructed as a waiver of any subsequent breach of the same or other provisions 

 

    

     

 

BTT (business trading terms)

 

 

 

-Irrespective of whether a customer is using a cleaner introduced by CHCS LTD all payments to CHCS LTD other than one-off payments will continue until the agreement is terminated lawfully.

     

-If the BTT is terminated lawfully all payments to CHCS LTD shall cease.   

 

-CHCS LTD will not refund any advance payment upon receipt of termination notice from the customer. No refunds will be given during notice. A service credit can be provided for agency fees paid in advance. If a customer declines the service, no refunds will be made.    

 

-CHCS LTD Reserves the right to claim interest at market rates for overdue fees.   

 Where the customer cancels an appointment with less than 12 hours' notice the customer shall pay to the cleaner a late cancellation charge of £7.50.   

 
      Insurance Cover    

 

-All CHCS LTD. cleaners whose services are used by the customer will be covered primarily by the customer’s own insurance policies and as a contingency covered by CHCS sees public liability policy which cover  including damage or lost to the customer on the express condition that such loss and/or damage is caused by negligence of the cleaner which was introduced by CHCS LTD..   

   

-CHCS LTD accepts no liability for insurance unless the fee has been paid to CHCS in advance.   

 

     Liability exclusion   

 

 To the extent that such exclusions are allowed at law and accepting claims for bodily injury or death due to negligence on the part of a CHCS LTD introduced cleaner. CHCS LTD does not accept any responsibility for any type of damage or loss to the customer or the customers goods or premises even if the terms of the CHCS LTD.  are breached by a CHCS TLD  introduced cleaner whether wilfully  or negligently in contract or in delict, in breach of express or implied terms of  it’s introduced cleaners.  

   

-CHCS LTD. accepts no liability for any failure of service in anyway relating to this BTT including "acts of God”.              

 -CHCS LTD. will not be held liable to carry out unfinished tasks nor will it incur liability for not carrying out terms of this BTT if the customer is in breach of any obligation to CHCS LTD.                                                                                                                                                                                                                                                                       

-CHCS LTD. shall have the right to terminate the agreement if unable to put right the breach in such an instance CHCS shall have the same action or redress against the customer as if it were the customer that was in breach enabling CHCS to terminate the agreement.    

   

 -The ownership and responsibility for the return of customer keys remains between the customer and the cleaner. CHCS cannot accept any responsibility for losses that arise from such instances.   

   

 CHCS LTD  Shall:   

   

- Advertise for cleaners.   

.   

-Interview cleaners.                                                                                                                                                     

 

-Reference and ID check cleaners.                                                                                                                                 

-Check that the cleaner is eligible to work legally in the UK.    

     

-Provide the most suitable cleaner to the customer.    

    

-Use reasonable ways to provide a prompt reply service to issues or questions raised by the customer when required.                                                                                                                                                                              

-Always comply with the terms of the law.  

     

-Provide insurance cover.    

  
The Customer Shall:    

 

-Not employ a CHCS LTD cleaner introduced to them after cancelling their contract with CHCS LTD.   

 

-Contact CHCS directly if a temporary cleaner is needed due to the regular cleaner not being available replacements are not automatically supplied as not all customers require them..  .   

​

-Not recommend any CHCS LTD cleaners to anyone that is not using CHCS LTD.
